John is a corporate partner who focuses on corporate real estate, private equity, funds and venture capital. He specialises in investments using special purpose vehicles, creating effective structures for investors and management in joint venture and venture capital transactions encompassing expertise in limited partnerships, offshore unit trusts, Luxembourg structures and LLPs; FSMA aspects of establishment and promotion of unregulated CISs and the manager role. He also advises professional practices in relation to their LLP structures. He regularly advises in relation to shareholder disputes.

Recent experience

John acts for entrepreneurial clients in the property, TMT, alternative energy, financial services and retail sectors as well as venture capital investors in those sectors. Recent matters include:

  • development and sale of solar farm projects comprising over 150MW
  • residential development joint venture acting for a leading registered provider
  • offshore residential property development fund structure for leading UK developer
  • £60m development funding structure for data centre roll out including detailed management incentives programme
  • disposals of £220m plus commercial properties held in offshore structures for funds advised by a leading property fund manager (three transactions)
  • LLP agreements for professional services firms; advising senior LLP members for hedge fund LLPs and venture capital fund LLPs, advising on 2014 Finance Act changes
  • several shareholder disputes involving venture capital investments and joint ventures
  • acquisition of a £30m+ data centre investment
  • four venture capital funding rounds for a new media advertising business
  • two venture capital investments in a telecoms company acting for a leading venture capital fund
  • three venture capital investment rounds in online retail business acting for a leading venture capital fund
  • institutional buyout (acting for management team) of TV and film post production business and subsequent share capital restructuring
  • buyout of a UK/European telecoms business and subsequent disposal
  • buyout of a wealth management business and various joint ventures with new funders
